Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Eighty20 Software LLC, doing business as Behind the Practice ("we," "us," or "our"), concerning your access to and use of the behindthepractice.io website (the "Site") and any related services (collectively, the "Services").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site.


2. Description of Services

Behind the Practice provides web design, development, and digital marketing services for healthcare practices. Our Site offers information about our services, case studies, resources, and the ability to request a free site audit or contact us for more information.


3. Eligibility

You must be at least 18 years old to use our Services. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.


4. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
  • Transmit or send advertising or promotional material without our prior written consent
  • Impersonate us, our employees, another user, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site
  • Use any robot, spider, or automated device to access the Site without our express written permission
  • Introduce viruses, trojan horses, worms, logic bombs, or other harmful material
  • Attempt to gain unauthorized access to any part of the Site or associated systems
  • Use the Site to collect or harvest any personally identifiable information of other users

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Site and all content, features, and functionality—including all information, software, text, displays, images, video, audio, and design—are owned by Eighty20 Software LLC or its licensors and are protected by U.S. and international intellectual property laws.

The Behind the Practice name, logo, and all related names, logos, product/service names, and designs are trademarks of Eighty20 Software LLC. You may not use these without prior written permission.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use.

This license does not include the right to:

  • Modify, copy, distribute, publish, or create derivative works
  • Use the Site for any commercial purpose or for any third party
  • Remove or alter copyright or trademark notices

6. User-Generated Content

6.1 Submissions

When you submit information through forms or communication channels on the Site (“User Content”), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and display such User Content for purposes of providing Services and operating our business.

6.2 Prohibited Content

You agree not to submit User Content that:

  • Contains false or misleading information
  • Violates any third-party rights
  • Is defamatory, obscene, offensive, or otherwise objectionable
  • Contains advertising, promotional materials, or spam

7. Third-Party Services and Links

The Site may contain links to third-party websites or services (e.g., Google Analytics, Calendly). We do not control and are not responsible for third-party content, privacy policies, or practices.

You agree that we are not liable for any damage or loss caused by your use of third-party websites or services.


8. Disclaimer of Warranties

The Site and Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability or uninterrupted operation
  • Freedom from errors, viruses, or harmful components

Your use of the Site is at your own risk. Some jurisdictions do not allow certain warranty exclusions, so some limitations may not apply.


9. Limitation of Liability

To the fullest extent permitted by law, Eighty20 Software LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits
  • Loss of data
  • Loss of goodwill
  • Loss of use

Our aggregate liability shall not exceed $100.

Some jurisdictions do not allow certain limitations, so some may not apply.


10. Indemnification

You agree to indemnify, defend, and hold harmless Eighty20 Software LLC and its affiliates from any claims, damages, losses, liabilities, or expenses arising from:

  • Your violation of these Terms
  • Your use of the Site
  • Your violation of third-party rights
  • Your User Content

11. Privacy

Your use of the Site is governed by our Privacy Policy, which is incorporated by reference. Please review it to understand how we collect, use, and disclose information.


12. Termination

We may suspend or terminate your access to the Site at any time without notice for any reason, including violations of these Terms.

Upon termination, your right to use the Site immediately ceases. Provisions that should survive termination will continue in effect.


13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising out of these Terms shall be resolved through binding arbitration in Hamilton County, Indiana, administered by JAMS under its Comprehensive Rules.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

All disputes must be brought on an individual basis. You waive any right to participate in class or representative actions. If a claim proceeds in court, you waive the right to a jury trial.


14. Changes to Terms

We may modify these Terms at any time. Material changes will be announced at least 30 days in advance via the Site or email.

By continuing to use the Site after changes become effective, you agree to the revised Terms.


15. Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue in full force. The invalid provision will be modified only as needed to make it enforceable.


16. Waiver

No waiver of any term shall be deemed a continuing waiver or a waiver of any other term. Failure to enforce a right does not constitute a waiver.


17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Eighty20 Software LLC regarding the use of the Site.
